Constitution of the Myanmar Association, Inc.

 Preamble

            The Myanmar Association, Inc. has been formed, as a work-based association, in the interest of the staff Members from Myanmar in the United Nations and its Specialized Agencies to promote Myanmar social and cultural activities.  The Association will be responsible  to the United Nations staff members from Myanmar through their elected representatives.

 

Article I

Purpose

(a)               To promote Myanmar culture in the United Nations.

(b)               To participate in the United Nations activities where there are opportunities for promoting Myanmar social and cultural life.

(c)               To promote friendship and unity of members of the Myanmar Association, Inc. and their families by engaging in collective social and cultural activities.

(d)               To disseminate relevant literature and materials on Myanmar culture.

(e)               To conduct seminars, talks and classes on Myanmar social and cultural aspects.

 

Article II

Membership  

1.                  The following are eligible for membership of the Myanmar Association, Inc.

a.                   Staff members of the United Nations and its Specialized Agencies from Myanmar.

b.                  Retired staff members of the above. 

c.                   Persons from Myanmar under contractual status with the United Nations and its Specialized Agencies.  They shall have a contract of at least three months duration. 

d.                  Myanmar citizens who are not staff members of the UN and its Specialized Agencies may apply to become Associate Members.  Associate Members do not have the right to serve on the Executive Committee of the Association but may participate in all other social activities and serve in the ad hoc committees and sub-committees. 

2.                  Categories of persons mentioned above may apply to be members of the Myanmar Association, Inc. 

3.                  The Myanmar Association, Inc. through its Executive Committee will review the applications for membership.  The Executive Committee may for a good cause deny membership and remove or suspend a member, or take other such action with regard to a member as may be consistent with the purpose of the Myanmar Association, Inc.

  

Article III

Officers

             The Officers of the Myanmar Association, Inc. shall be a President, a First Vice-President, a Second Vice-President, Secretary, two Joint-Secretaries, a Treasurer and a Joint-Treasurer.  Categories of persons mentioned in Article II will be eligible to serve as officers of the Myanmar Association, Inc.

 

Article IV

 Executive Committee

 

1.                  The Executive Committee shall be composed of the duly elected officers of the Myanmar Association, Inc. 

2.                  The Executive Committee shall hold regular meetings, of which at least one week’s notice shall be given to each of its members.  A quorum for any meeting shall bee four members of the Executive Committee and all decisions on behalf of the Myanmar Association, Inc. shall taken by a simple majority of the members present and voting. 

3.                  The Executive Committee shall be empowered to conduct any negotiations which it may deem necessary on behalf of, or in relation to, any activity of the Myanmar Association, Inc. 

4.                  The Executive Committee shall appoint all sub-committees.  The Executive Committee may constitute ad hoc committees as it may deem necessary. 

5.                  The following sub-committees will be appointed: 

a.       Culture sub-committee

b.      Social Welfare sub-committee

c.       Information sub-committee

d.      Finance sub-committee

e.       External relations sub-committee

 

Article V

 Annual General Meeting of the Myanmar Association, Inc.

1.                  The Myanmar Association, Inc. shall hold an Annual General Meeting during the month of October each year.

2.                  All members of the Myanmar Association, Inc. shall receive two weeks before the meeting;

a.                   A provisional agenda

b.                  The Annual Report of the President on the activities of the Myanmar Association, Inc.

c.                   A report of the Treasurer on the financial affairs of the Myanmar Association, Inc., duly audited for the preceding calendar year. 

3.                  A quorum for any Annual Meeting or Special Meeting of the Myanmar Association, Inc. shall be one-third of its membership.  All decisions shall be taken by a simple majority of the members present and voting. 

4.                  If one-third of the members petitions the President to call a special meeting, such meeting shall be called within three weeks of receipt of a written petition.  At least two week’s notice of the meeting shall be given to each member of the Myanmar Association, Inc., by mail or e-mail at their last known address. 

5.                  Special meetings of the Myanmar Association, Inc. may be called by the Executive Committee.  At least two weeks notice of a meeting shall be given to each member of the Myanmar Association, Inc. 

6.                  The Provisional Agenda and the Annual Report of the President shall be circulated to the members at least two weeks in advance of the Annual General Meeting. 

7.                  The procedures at all Annual General Meetings shall be governed by the Rules of Procedures set out.

 

Article VI

Financial Affairs

1.                  Annual membership fees will be $20, and a life membership fees is $100.

2.         The Myanmar Association, Inc. shall maintain accounts with such banks as may be designated by the Executive Committee.  The signature of at least two officers, one of whom must be the Treasurer or Joint Treasurer, shall be required on all cheques issued.

 

Article VII

Ratification of the Constitution

            This Constitution shall be ratified by a vote of two-thirds of the members of the Myanmar Association, Inc., either at the Annual General Meeting or Special Meetings of the Myanmar Association, Inc., or through mail ballot.

 

Article VIII

Amendment of the Constitution

            This Constitution may be amended by a vote of two-thirds of the members of the Myanmar Association, Inc., either at the Annual General Meeting or Special Meeting of the Myanmar Association, Inc., or through mail ballot, provided the text of the proposed amendment has been given at least two weeks before the meeting to all members of the Myanmar Association, Inc.

 

Article IX

By-laws

                The Executive Committee of the Myanmar Association, Inc. is authorized to make and, from time to time revise and amend, such rules and regulations, which are not inconsistent with the Constitution, as may be deemed proper for the conduct of the meetings, business and affairs of the Myanmar Association, Inc. and of its committees.
